4. Pricing & Payment

• All prices are stated in USD or AED unless agreed otherwise
• Payments must be made according to agreed milestones
• Late payments may result in:

5. Intellectual Property

• All work remains property of Consai until full payment is received
• After payment, ownership is transferred unless otherwise agreed

5.2 Consai Assets

• Frameworks, systems, templates, AI models remain property of Consai

6. Confidentiality

Both parties agree to:

• Keep all business information confidential
• Not disclose sensitive data to third parties

This obligation continues after project completion.

7. Limitation of Liability

Consai shall not be liable for:

• Indirect or consequential damages
• Loss of revenue, profit, or data
• Third-party failures (hosting, APIs, platforms)

Maximum liability is limited to the total amount paid for the service.

8. No Guarantees

We do not guarantee:

• Specific rankings (SEO)
• Exact lead numbers
• Revenue outcomes

9. Third-Party Services

Projects may include third-party tools:

• Hosting providers
• APIs
• Marketing platforms

Consai is not responsible for outages, policy changes, or failures of third parties.

10. Data Protection

We process personal data in accordance with:

• UAE PDPL (Federal Decree-Law No. 45 of 2021)
• GDPR (where applicable)

11. Project Delivery & Timelines

• Timelines are estimates unless contractually fixed
• Delays caused by the client extend delivery deadlines

12. Revisions & Changes

• Revisions are limited to agreed scope
• Additional work = additional cost

13. Termination

• If the other party breaches obligations

Upon termination:

• Completed work must be paid
• Access to services may be revoked

14. Governing Law

These Terms are governed by:

• Laws of the Emirate of Ras Al Khaimah
• Applicable UAE Federal Laws

Any disputes shall be resolved under RAKEZ jurisdiction.

15. Force Majeure

Consai is not liable for delays caused by:

• Natural disasters
• Government actions
• System failures beyond control

16. Independent Relationship

Nothing in these Terms creates:

• Partnership
• Joint venture
• Employment relationship

17. Amendments

Consai reserves the right to update these Terms at any time.
